1. Agreement

Please read these official rules (the “Official Rules”) carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you if you enter the OwnersBox™ PS5 + MLB The Show 25 Bundle Giveaway (the “Giveaway”) sponsored and promoted by OwnersBox 3.0 Corporation (the “Sponsor/Promoter”).

By participating in the Giveaway, you signify your agreement to these Official Rules and the decisions of the Sponsor/Promoter. If you do not agree to the Official Rules, you may not enter the Giveaway.

2. The Giveaway Period:

The Giveaway shall begin at 3:00 PM Eastern Time (“ET”) on Thursday, March 20, 2025; and end at 3:05 PM ET on Thursday, March 27, 2025 (“Giveaway Period”). Sponsor/Promoter’s database clock will be the official timekeeper for this Giveaway. There will be one winner who will be randomly selected after the conclusion of the contest. The Giveaway consists of one (1) grand prize, the draw for which will take place on or about Friday, March 28, 2025 (as further described below)

3. How to Enter

To enter you must have a verified OwnersBox account. There are two (2) methods of entry into the Giveaway, as follows:

1) Purchase Method of Entry

Submit a $1 (USD) lineup entry into the $1K MLB Special – PS5 🎮 Giveaway + The Show 25 Salary Cap contest and you will get one (1) entry into the giveaway. You can earn additional entries for every one (1) $1 (USD) lineup entry into the $1K MLB Special – PS5 🎮 Giveaway + The Show 25 Salary Cap contest, up to 150 entries.

2) No-Purchase Method of Entry:

Refer a friend: During the Giveaway Period, for every friend you refer who creates a verified OwnersBox account will earn you ten (10) entries into the sweepstake.Participants can refer friends to join OwnersBox by providing their unique referral link, send a referral email invite, or provide referral code. The more entries into the $1K MLB Special – PS5 🎮 Giveaway + The Show 25 Salary Cap contest you submit and the friends you refer the more entries you earn!

Entry Limit: Limit of one hundred and fifty (150) entries per person during the Giveaway Period, regardless of entry method.

By entering the Giveaway, you signify your agreement to these Official Rules and the Sponsor/Promoter’s General Terms of Service and Privacy Policy.

No Purchase Necessary

This is a promotional drawing in which a prize is being given away at no charge to the participants. The winner will be selected at random -  it’s the luck of the draw if you’re chosen. You can refer users who verify as a means to enter without making any form of purchase.

4. Eligibility:

You must have a verified OwnersBox account. You must also be at least eighteen (18) years of age to participate in contests, sweepstakes or win prizes offered through OwnersBox. In jurisdictions, territories, and locations where the minimum age for permissible use of Contests is greater than eighteen (18) years old, you must meet the age requirement in your local jurisdiction or territory. Legal residents physically located in Canada or any of the fifty (50) states and Washington D.C. in the United States of America, excluding, Connecticut, Delaware, Indiana, Hawaii, Idaho, Iowa, Louisiana, Mississippi, Montana, Nevada, New York, Washington (the “Excluded States”) are eligible to open an account and participate in Salary Cap contests, sweepstakes or win prizes offered by OwnersBox.

• You are of 18 years of age or older (or the minimum age for permissible use in your jurisdiction)

• At the time of game entry you are physically located in a jurisdiction in which participation in the Contest is not prohibited by applicable law or these Terms;

• You are not listed on any governmental list of prohibited or restricted parties;

• You will abide at all times with this Agreement and any other agreements between you and OwnersBox regarding your use of the Services;

• When depositing funds or entering Contests, you are not physically located in of any of the Excluded States;

• You are not subject to backup withholding tax from any governmental authority;

• When entering any Contest that awards prizes, you are not an Employee, Immediate Family Member, or operator of OwnersBox or any other daily fantasy site that charges entrance fees or offers cash prizes;

• You do not, by virtue of affiliation with another daily fantasy site, have access to the site’s pre-release non-public confidential data about Contest-related information.

5. Prize/Approximate Retail Value (“ARV”)/Odds:

There is one (1) grand prize (the “Grand Prize”) of one (1) PS5 console and one (1) copy of MLB The Show 25 (PS5). The Grand Prize may hereafter be referred to as a “prize” or “Giveaway Prize.”

The shipping of the Prize to a validated CAD or USA address will be the responsibility of the Sponsor/Promoter..

The Approximate Retail Value (APV) of $600.00 USD.

Giveaway Prize Conditions:

No substitution of a prize will be allowed, except Sponsor/Promoter reserves the right, in its sole discretion, to substitute prize(s) of comparable value if the listed prize is unavailable, in whole or in part, for any reason. The Giveaway Prize is non-refundable, and no substitution or cash redemption will be made except as provided herein and at the Sponsor/Promoter's sole discretion. Sponsor/Promoter’s determinations regarding the awarding of the Grand Prize is final. No prize substitutions except as provided herein.

All details and other restrictions of the Giveaway Prize not specified in these Official Rules will be determined by Sponsor/Promoter in its sole discretion. Actual value of the Grand Prize under this Giveaway may be lower or higher at the time of its fulfillment, and any difference between actual value and the stated ARV (if actual value is lower than stated ARV) will not be awarded. The Grand Prize ARV represents Sponsor/Promoter’s good faith determination, is final and binding and cannot be challenged or appealed. Sponsor/Promoter is not responsible if any element of the prize is delayed, postponed or cancelled for any reason.

Winners must be able to accept any Giveaway Prize as presented or the Giveaway Prize will be forfeited in its entirety and an alternate potential winner may be selected in Sponsor/Promoter's sole discretion. All other expenses not specified herein with respect to the Giveaway Prize are the sole responsibility of the winner.

Odds of Winning: The odds of winning will depend on the total number of eligible entries received during the Giveaway Period.

6. Winner Selection & Notification

Sponsor/Promoter will select one (1) potential winner for the Grand Prize in a drawing conducted at Sponsor/Promoter’s offices. Sponsor/Promoter’s decisions are final. One (1) potential winner for the Grand Prize will be randomly Selected from among all eligible entries received during the Giveaway Period on or about Friday, March 28th, 2025.

Winner Notification:

Sponsor/Promoter will contact the potential winner by email using the email address associated with the potential winner’s OwnersBox account.

Sponsor/Promoter will make a minimum of two (2) attempts to contact the potential winner within forty-eight (48) hours of the drawing.

If the potential winner cannot be contacted within ninety-six (96) hours of initial notification, after two attempts, including if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor/Promoter, be disqualified (and, if disqualified, will forfeit any and all rights to the applicable prize) and the Sponsor/Promoter reserves the right, in its sole and absolute discretion to randomly select an alternate eligible entrant for the Giveaway Prize in a separate random drawing from the remaining eligible entries submitted and received in accordance with these Official Rules.

The potential winner will become a confirmed and verified winner (a “Winner”) after meeting the requirements that follow:

1) The potential winner will be required to sign and return, within ninety-six (96) hours of notification, an Affidavit of Eligibility, a Liability Waiver, and a Publicity Release (where allowable) (the “Releases”) as a condition of acceptance of the Giveaway Prize.

2) If the potential winner is a resident of the United States of America or DC, he/she will be required to complete and return, within ninety-six (96) hours of notification, an IRS W-9 tax form (the “W9”), which will require the potential winner to furnish his/her TIN for the sole purpose of tax reporting, as required by law. Sponsor/Promoter will only use information from the W-9 form to fulfill its tax obligations in connection with this Giveaway and for no other purpose.

3) If the potential winner is a resident of Canada, he/she will be required to correctly answer a time-limited skill-testing question without any assistance in order to become a Winner. The skill-testing question may be part of the Releases or may be provided separately.

The completed Releases and W9 (if applicable) must be received by Sponsor/Promoter by the date and time provided in the respective notifications.

If any potential winner cannot: (a) be contacted after two attempts, (b) fails to respond and/or to provide any of the requested Releases or the W9 (if applicable) within the required time period, (c) is otherwise in non-compliance with these Official Rules, (d) declines to or cannot accept the prize to be awarded, or (e) fails to satisfactorily meet the requirements as determined in Sponsor/Promoter's sole discretion, he/she will be disqualified and will no longer be eligible for a chance to win a prize.

No one is a Winner unless and until the Sponsor/Promoter officially confirms him/her as a Winner in accordance with these Official Rules.

7. Release; Indemnification; Disclaimer of Warranty

By participating in the Giveaway, each entrant, his/her heirs, executors, administrators and assigns, releases, waives, discharges, and holds harmless the Sponsor/Promoter, each of their parent companies, and their respective subsidiaries, affiliates, suppliers of prizes, advertising and promotion agencies involved in the administration, development, fulfillment and execution of this Giveaway (collectively, the “Released Parties”) from any and all liability for any loss, harm, damage, injury, cost or expense of any nature whatsoever (including attorneys' fees) (collectively, "Losses") which may occur in connection with (a) the Giveaway or any element thereof, including entry or participation therein, (b) delivery, possession, acceptance and/or use or misuse of any prize or component thereof, or (c) participation in any Giveaway-related activity or prize-related activity including without limitation in each case any Losses that may be caused or contributed to by (1) any wrongful, negligent or unauthorized act or omission on the part of any of the Released Parties, or any of their independent contractors or any other person or entity not an employee of any of the Released Parties, or (2) any other cause, condition or event whatsoever beyond the control of any of the Released Parties.

In addition, by participating in this Giveaway, each entrant agrees to indemnify and hold harmless the Released Parties from and against any and all damages, losses, costs and expenses (including amounts paid in settlement and reasonable attorneys' fees) incurred by any of the Released Parties in connection with any third-party claim, demand, liability, suit, proceeding or action arising out of or resulting from (i) breach or alleged breach of any representations, warranties or agreements of entrant hereunder, or (ii) entrant’s possession, use or misuse of any prize or component thereof. Each entrant hereby acknowledges that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize (or any components thereof) and that, except as prohibited by applicable law, prizes are provided "as is" without warranty of any kind, either express or implied. Released Parties hereby disclaim all such warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and/or non-infringement.

FOR RESIDENTS OF THE STATE OF CALIFORNIA: You acknowledge and agree that your release and waiver extend to the following, the protections of which you explicitly waive: California Civil Code Section 1542: A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.

8. Publicity

Except where prohibited by law, entry into the Giveaway and acceptance of a prize constitutes entrants’ permission to print, publish, broadcast, distribute, and use, in any media now known or hereafter devised, worldwide, the Winner’s name, city, province, territory or state, and prize won, as news, publicity or information and for advertising, public relations and promotional purposes, without further payment or consideration, notice, review or approval.

At a minimum, OwnersBox will display the winner within the "Promotion Terms" page.  We will also send out a mass email to all participants in the promotional contest.

9. Limitation of Liability

The winner agrees that (except where prohibited) the sponsor (outlined below) may use their OwnersBox Username and Instagram username for advertising and promotional purposes without further compensation. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Sweepstakes should virus, bugs, non-authorized human intervention or other causes beyond the control of the sponsor corrupt or impair the administration, security, fairness or proper play of the Sweepstakes. In such an event, Sponsor may award the prize in a random drawing from all eligible entries received up to the date of cancellation or suspension. Sponsor is not responsible for technical, hardware, software or failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, illegible writing, errors and omissions on the entry form, whether caused by the sponsor, users or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning the prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs), false information of any kind, or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. Offers void where prohibited and subject to federal, state and local laws.

10. General

Sponsor/Promoter reserves the right to terminate, cancel, suspend and/or modify the Giveaway, if intervening circumstances warrant, within Sponsor/Promoter's sole discretion, due to any fraud, virus or other technical problem which corrupts the administration, security, or proper entry into the Giveaway, or for any other reason. In such event, Sponsor/Promoter reserves the right to award the prize by random drawings from among the eligible entries received up to the time of the termination, cancellation, suspension and/or modification.

By participating in the Giveaway, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Giveaway.

Failure to comply with these Official Rules will result in disqualification from the Giveaway. Sponsor/Promoter reserves the right to permanently disqualify from any Giveaway it sponsors any person it believes has intentionally violated these Official Rules. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and should such an attempt be made, Sponsor/Promoter reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor/Promoter's failure to enforce any term or provision of these Official Rules shall not constitute a waiver of that term or provision.

11. Disputes

Except where prohibited, Participants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Province of Ontario, Canada. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor/Promoter in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the of Province of Ontario, without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.

12. Contact

By entering the Contest, each entrant consents to OwnersBox and its affiliates contacting the entrant via email, telephone, or mail for marketing purposes, including to notify the entrant about future contests, promotions, and offerings. Entrants may withdraw their consent to receive marketing communications at any time by following the unsubscribe instructions included in any such communication or by contacting OwnersBox.

13. Privacy

Information collected through the administration of the Giveaway is subject to the Sponsor/Promoter’s Privacy Policy and applicable law, and will be used in connection with the administration of this Giveaway, including, but not limited to, notifying and verifying winners, and fulfilling prizes.

Personal information collected is otherwise subject to the Sponsor/Promoter’s Privacy Policy, available at: https://app.ownersbox.com/wfs/privacy.

14. Severability

If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck from these Official Rules and the remaining provisions shall remain in full force and effect.
