Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT

INCREASE YOUR CHANCES OF WINNING.

1. Agreement

Please read these official rules (the “Official Rules”) carefully. They contain important

information about your rights and obligations, as well as limitations and exclusions that may

apply to you if you enter the OwnersBox™ Groceries Giveaway (the “Giveaway”) sponsored

and promoted by OwnersBox 3.0 Corporation (the “Sponsor/Promoter”).

By participating in the Giveaway, you signify your agreement to these Official Rules and the

decisions of the Sponsor/Promoter. If you do not agree to the Official Rules, you may not enter

the Giveaway.

2. Giveaway Period

The Giveaway shall begin at 12:00:01 AM Eastern Time (“ET”) on December 1, 2024 and end at

11:59:59 PM ET on December 15, 2024 (the “Giveaway Period”). Sponsor/Promoter’s

database clock will be the official timekeeper for this Giveaway. The Giveaway consists of one

(1) grand prize draw, which will take place on or about Tuesday, December 18, 2024 (as further

described below).

3. Eligibility

The Giveaway is open only to current legal residents of the fifty (50) United States and the

District of Columbia (“DC”) in the United States of America, excluding Arizona, Connecticut,

Delaware, Hawaii, Idaho, Indiana, Iowa, Louisiana, Maine, Massachusetts, Minnesota,

Mississippi, Montana, Nevada, New Hampshire, New Jersey, New York, North Dakota,

Oklahoma, Pennsylvania, Rhode Island, South Dakota, Vermont, and Washington (the

“Excluded States”), who are at least eighteen (18) years of age or the age of majority in their

province, territory or state of residence at the time of entry (“Participant,” “entrant” or “you”).

Employees, officers, directors, agents, or representatives, of the Sponsor/Promoter, each of

their respective parent companies and their respective subsidiaries, affiliates, suppliers of prize,

advertising and promotion agencies involved in the administration, development, fulfillment, and

execution of this Giveaway (collectively, the “Giveaway Parties”), and the immediate family

(spouse, parents, siblings and children) of, and/or those living in the same household of each,

are not eligible to enter the Giveaway.

The Giveaway is subject to all applicable federal, provincial, territorial, state, municipal and local

laws and regulations. If it is found that a person who does not meet the eligibility criteria set forth

in these rules has submitted an entry, that entry may be deemed ineligible. Sponsor/Promoter

reserves the right to verify eligibility requirements. Void in the Excluded States and where

prohibited by law. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. How to Enter

There are two (2) methods of entry into the Giveaway, as follows:

1) Purchase Method of Entry:

Visit https://ownersbox.com/ during the Giveaway Period and (i) login to your OwnersBox™

account, or (ii) create an account on OwnersBox™. To create an account on OwnersBox™, you

will be required to provide your legal name (first name and surname), email address, date of

birth, residential address (street number, street name, city, province, territory or state, postal or

zip code, and country of residence), and create a username and password. By creating an

OwnersBox™ account you acknowledge and agree to the OwnersBox™ Terms of Service:

Once you have logged into your OwnersBox™ account, navigate to the Salary Cap NFL lobby

(available at: https://app.ownersbox.com/wfs/lobby/daily/NFL). Select a contest with a grocery

cart icon associated with it and build and submit a lineup with varying entry fees totaling

anywhere between Zero U.S. Dollars (US $0.00) and Fifteen U.S. Dollars (US $15.00) (each, an

“Eligible Purchase”). Participants will automatically receive one (1) entry into the Giveaway for

every entry submitted on an Eligible Purchase.

2) No-Purchase (Mail-In) Method of Entry:

To enter without making a purchase:

(a) handwrite the following on the front of a 3” x 5” card: (i) the words: OwnersBox™ Groceries

Giveaway, (ii) your first and last name, email address, date of birth, province, territory or state

and country of residence, and (iii) a 150-word unique and original essay on your favorite football

team or player; and

(b) insert the card into a #10 envelope and mail it, with sufficient postage, to: OwnersBox™ The

Grocery Giveway c/o 274 Shirley Avenue, Unit 201, Kitchener, Ontario, N2B 2E1 (each, a “Mail-

in Submission”) Mail-In Submissions must be postmarked by December 15, 2024, and

received (by the Sponsor, at the address listed herein) by December 17, 2024.

Limit of one (1) Mail-In Submission per envelope. Participants will receive ten (10) entries into

the Giveaway for an eligible Mail-In Submission.

All Mail-In Entries must be handwritten and include all requested information (as stated above)

to be eligible. Bulk shipments (multiple entries in one shipping package) will not be accepted

and will be destroyed. Requests for confirmation of receipt of mail-in entries will not be

acknowledged. No photocopies, facsimiles or reproductions of Mail-In Entries will be accepted.

The Giveaway Parties are not responsible for late, lost, damaged, stolen, incomplete, illegible,

postage due, or misdirected entries. Proof of mailing does not constitute proof of delivery.

Entry Limit: Limit of two thousand five hundred (2,500) entries per person during the

Giveaway Period, regardless of entry method.

By entering the Giveaway, you signify your agreement to these Official Rules and the

Sponsor/Promoter’s Privacy Policy. The Giveaway Parties are not responsible for lost, late,

stolen, incomplete, inaccurate, invalid, unintelligible, garbled, delayed or misdirected entries, all

of which will be void. Entries which are incomplete, illegible, or fraudulent are null and void.

5. Prize/Approximate Retail Value (“ARV”)/Odds

There is one (1) grand prize (the “Grand Prize”) of free groceries for a year*. The Grand Prize

may hereafter be referred to as a “Giveaway Prize” or “prize”. The Giveaway Prize consists of

Kroger gift cards in varying denominations. Gift card terms and conditions may apply, see gift

card for details. Kroger gift cards awarded as part of the Giveaway Prize cannot be redeemed at

Harris Teeter stores.

Grand Prize: One (1) grand prize (the “Grand Prize”) is available to be won, consisting of

groceries for a year*, valued at $5,200 USD in Kroger gift cards.

*For the purpose of this Giveaway, “groceries for a year” is based on a national average of $100

USD per week for grocery expenses.

The ARV of the Grand Prize is $5,200 USD.

Giveaway Prize Conditions:

All expenses related to the acceptance or use of the Grand Prize are the sole

responsibility of the prize winner. Winners are responsible for all taxes and fees associated

with prize receipt and/or use. The odds of winning a Giveaway Prize depend on the total

number of eligible entries received.

No substitution of a prize will be allowed, except Sponsor/Promoter reserves the right, in its sole

discretion, to substitute prize(s) of comparable value if the listed prize is unavailable, in whole or

in part, for any reason. The Giveaway Prize are non-refundable, and no substitution or cash

redemption will be made except as provided herein and at the Sponsor/Promoter's sole

discretion. Sponsor/Promoter’s determinations regarding the awarding of the Grand Prize is

final. No prize substitutions except as provided herein.

All details and other restrictions of the Giveaway Prize not specified in these Official Rules will

be determined by Sponsor/Promoter in its sole discretion. Actual value of the Grand Prize and

Additional Prize under this Giveaway may be lower or higher at the time of its fulfillment, and

any difference between actual value and the stated ARV (if actual value is lower than stated

ARV) will not be awarded. The Grand Prize and Additional Prize ARV represents

Sponsor/Promoter’s good faith determination, is final and binding and cannot be challenged or

appealed. Sponsor/Promoter is not responsible if any element of the prize is delayed,

postponed or cancelled for any reason.

Winners must be able to accept any Giveaway Prize as presented or the Giveaway Prize will be

forfeited in its entirety and an alternate potential winner may be selected in Sponsor/Promoter's

sole discretion. All other expenses not specified herein with respect to the Giveaway Prize are

the sole responsibility of the winner.

Odds of Winning: The odds of winning will depend on the total number of eligible entries

received during the Giveaway Period.

6. Winner Selection & Notification

Sponsor/Promoter will select one (1) potential winner for the Grand Prize in a drawing

conducted at Sponsor/Promoter’s offices. Sponsor/Promoter’s decisions are final. One (1)

potential winner for the Grand Prize will be randomly Selected from among all eligible entries

received during the Giveaway Period on or about December 18, 2024.

Sponsor/Promoter will contact the potential winner by email using the email address associated

with the potential winner’s OwnersBox account (if available) or using the email address provided

by the potential winner in their eligible Mail-In Submission(s).

Sponsor/Promoter will make a minimum of two (2) attempts to contact the potential winner

within forty-eight (48) hours of the drawing.

If the potential winner cannot be contacted within ninety-six (96) hours of initial notification, after

two attempts, including if there is a return of any notification as undeliverable; then he/she may,

in the sole and absolute discretion of the Sponsor/Promoter, be disqualified (and, if disqualified,

will forfeit any and all rights to the applicable prize) and the Sponsor/Promoter reserves the

right, in its sole and absolute discretion to randomly select an alternate eligible entrant for the

Giveaway Prize in a separate random drawing from the remaining eligible entries submitted and

received in accordance with these Official Rules.

The potential winner will become a confirmed and verified winner (a “Winner”) after meeting the

requirements that follow:

1) The potential winner will be required to sign and return, within ninety-six (96) hours of

notification, an Affidavit of Eligibility, a Liability Waiver, and a Publicity Release (where

allowable) (the “Releases”) as a condition of acceptance of the Giveaway Prize.

2) If the potential winner is a resident of the United States of America or DC, he/she will be

required to complete and return, within ninety-six (96) hours of notification, an IRS W-9

tax form (the “W9”), which will require the potential winner to furnish his/her TIN for the

sole purpose of tax reporting, as required by law. Sponsor/Promoter will only use

information from the W-9 form to fulfill its tax obligations in connection with this

Giveaway and for no other purpose.

The completed Releases and W9 (if applicable) must be received by Sponsor/Promoter by the

date and time provided in the respective notifications.

If any potential winner cannot: (a) be contacted after two attempts, (b) fails to respond and/or to

provide any of the requested Releases or the W9 (if applicable) within the required time period,

(c) is otherwise in non-compliance with these Official Rules, (d) declines to or cannot accept the

prize to be awarded, or (e) fails to satisfactorily meet the requirements as determined in

Sponsor/Promoter's sole discretion, he/she will be disqualified and will no longer be eligible for a

chance to win a prize.

No one is a Winner unless and until the Sponsor/Promoter officially confirms him/her as

a Winner in accordance with these Official Rules.

7. Release; Indemnification; Disclaimer of Warranty

By participating in the Giveaway, each entrant, his/her heirs, executors, administrators and

assigns, releases, waives, discharges, and holds harmless the Sponsor/Promoter, each of their

parent companies, and their respective subsidiaries, affiliates, suppliers of prize, advertising and

promotion agencies involved in the administration, development, fulfillment and execution of this

Giveaway (collectively, the “Released Parties”) from any and all liability for any loss, harm,

damage, injury, cost or expense of any nature whatsoever (including attorneys'fees)

(collectively, "Losses") which may occur in connection with (a) the Giveaway or any element

thereof, including entry or participation therein, (b) delivery, possession, acceptance and/or use

or misuse of any prize or component thereof, or (c) participation in any Giveaway-related activity

or prize-related activity including without limitation in each case any Losses that may be caused

or contributed to by (1) any wrongful, negligent or unauthorized act or omission on the part of

any of the Released Parties, or any of their independent contractors or any other person or

entity not an employee of any of the Released Parties, or (2) any other cause, condition or event

whatsoever beyond the control of any of the Released Parties.

In addition, by participating in this Giveaway, each entrant agrees to indemnify and hold

harmless the Released Parties from and against any and all damages, losses, costs and

expenses (including amounts paid in settlement and reasonable attorneys' fees) incurred by any

of the Released Parties in connection with any third-party claim, demand, liability, suit,

proceeding or action arising out of or resulting from (i) breach or alleged breach of any

representations, warranties or agreements of entrant hereunder, or (ii) entrant’s possession, use

or misuse of any prize or component thereof. Each entrant hereby acknowledges that the

Released Parties have neither made nor are in any manner responsible or liable for any

warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize

(or any components thereof) and that, except as prohibited by applicable law, prize are provided

"as is" without warranty of any kind, either express or implied. Released Parties hereby disclaim

all such warranties, including but not limited to, the implied warranties of merchantability, fitness

for a particular purpose and/or non-infringement.  

FOR RESIDENTS OF THE STATE OF CALIFORNIA: You acknowledge and agree that your

release and waiver extend to the following, the protections of which you explicitly waive:

California Civil Code Section 1542: A general release does not extend to claims which the

creditor does not know or suspect to exist in his or her favor at the time of executing the release,

which if known by him or her must have materially affected his or her settlement with the debtor.

8. Publicity

Except where prohibited by law, entry into the Giveaway and acceptance of a prize constitutes

entrants’ permission to print, publish, broadcast, distribute, and use, in any media now known or

hereafter devised, worldwide, the Winner’s name, city, province, territory or state, and prize

won, as news, publicity or information and for advertising, public relations and promotional

purposes, without further payment or consideration, notice, review or approval.

9. General

Sponsor/Promoter reserves the right to terminate, cancel, suspend and/or modify the Giveaway,

if intervening circumstances warrant, within Sponsor/Promoter's sole discretion, due to any

fraud, virus or other technical problem which corrupts the administration, security, or proper

entry into the Giveaway, or for any other reason. In such event, Sponsor/Promoter reserves the

right to award the prize by random drawings from among the eligible entries received up to the

time of the termination, cancellation, suspension and/or modification.

By participating in the Giveaway, you (i) agree to be bound by these Official Rules,

including all eligibility requirements, and (ii) agree to be bound by the decisions of

Sponsor, which are final and binding in all matters relating to the Giveaway.

Failure to comply with these Official Rules will result in disqualification from the Giveaway.

Sponsor/Promoter reserves the right to permanently disqualify from any Giveaway it sponsors

any person it believes has intentionally violated these Official Rules. Any attempt by any person

to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal

and civil law, and should such an attempt be made, Sponsor/Promoter reserves the right to

seek damages from any such person to the fullest extent permitted by law. Sponsor/Promoter's

failure to enforce any term or provision of these Official Rules shall not constitute a waiver of

that term or provision.

10. Limitation of Liability

Without limiting anything set forth above in these Official Rules, Released Parties shall not have

any obligation, responsibility or liability, including any obligation or responsibility to provide a

prize to any entrant, with regard to: (a) entries entered through the use of any robotic or

automated device/computer program or any other non-human mechanism, entity, or device; (b)

entries n excess of the stated entry limit; (c) entries that are illegible, late, forged, destroyed,

lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled,

altered or otherwise not in compliance with or in violation of these Official Rules, whether

caused by any equipment or programming associated with or utilized in the Giveaway or any

other reason beyond Released Parties' control; (d) any technical or human error which may

occur in the creation, submission, assignment or processing of entries in the Giveaway,

including any technical or human error in connection with any social media platforms, Giveaway

Website and/or the hosting thereof; (e) entries, prize claims or notifications that are not received

by the intended recipient due to transmission, technical, computer or human failures or error of

any kind, including any entries, prize claims or notifications that are delayed, misdirected, or

undelivered as a result of any failure or problem with the availability, functionality, operability or

use of any network, server, ISP, website (including the Giveaway Website), computer, internet

connection, hand-held mobile device, social media platform, or any other equipment or

connection used in connection with the Giveaway; (f) changes in an entrant’s information which

affects the ability to contact such entrant; (g) typographical errors in Giveaway promotional

material; (h) cancellations and/or delays or any change by any company or any other persons

providing any of components of the prize due to reasons beyond the control of any of the

Released Parties; (i) any interruptions/postponement/cancellation of Giveaway; (j) human error;

incorrect or inaccurate transcription of entry information; (k) any technical malfunctions of the

computer on-line system, computer dating mechanism, computer equipment, software, any

social media platform, or internet service provider utilized by any of the Released Parties or by

an entrant; (l) interruption or inability to access the Giveaway, any Giveaway-related Web pages

(including the Giveaway Website), any social media platform, or any on-line service via the

Internet due to hardware or software compatibility problems; (m) any damage to an entrant’s (or

any third person's) computer and/or its contents related to or resulting from any part of the

Giveaway; (n) any lost/delayed data transmissions, omissions, interruptions, defects; and/or (o)

any other errors or malfunctions, even if caused by the negligence of any one or more of the

Released Parties.

11. Disputes

Except where prohibited, Participants agree that any and all disputes, claims and causes of

action arising out of, or connected with, the Giveaway or any prize awarded shall be resolved

individually, without resort to any form of class action, and exclusively by the appropriate court

located in the Province of Ontario, Canada. All issues and questions concerning the

construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights

and obligations, or the rights and obligations of the Sponsor/Promoter in connection with the

Giveaway, shall be governed by, and construed in accordance with, the laws of the of Province

of Ontario, without giving effect to any choice of law or conflict of law rules (whether of the

Province of Ontario or any other jurisdiction), which would cause the application of the laws of

any jurisdiction other than the Province of Ontario. The remedy for any claim shall be limited to

actual damages, and in no event shall any party be entitled to recover punitive, exemplary,

consequential, or incidental damages, including attorney’s fees or other such related costs of

bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL

CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER

SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT

INDUCEMENT THEREOF.

12. Privacy

Information collected through the administration of the Giveaway is subject to the

Sponsor/Promoter’s Privacy Policy and applicable law, and will be used in connection with the

administration of this Giveaway, including, but not limited to, notifying and verifying winners, and

fulfilling prize.

Personal information collected is otherwise subject to the Sponsor/Promoter’s Privacy Policy,

available at

https://app.ownersbox.com/wfs/privacy.

13. Winners List Request

For a written list of the Winner, including first name, last initial, and city and province, territory or

state of residence (available after February 18, 2024), send an email

to compliance@ownersbox.com with subject line: OwnersBox™ Groceries Giveaway Winners

List Request. Requests must be received no later than February 18, 2024.
